Terms of Use
These Terms of Use govern your access to and use of ReQuant’s on-premises AI-powered digital employee services and related websites, applications, and platforms (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Account Registration and Security
1.1 Account Creation
To access certain features of our Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Update your registration information to keep it accurate, current, and complete at all times.
- Be responsible for all activity that occurs under your account.
1.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
- Keep your login credentials secure and confidential.
- Notify us immediately of any unauthorized use of your account.
- Notify us of any other breach of security related to your account.
- Accept all risks of unauthorized access resulting from your failure to maintain security.
1.3 Usage Monitoring
We reserve the right to monitor your use of the Services for purposes including but not limited to:
- Security enhancement.
- Compliance with applicable laws and regulations.
- Service improvement and optimization.
We reserve the right to review, suspend, or terminate accounts if unusual usage patterns are detected.
2. License and Restrictions
2.1 License Grant
Subject to your compliance with these Terms, ReQuant grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes.
2.2 Restrictions
You agree that you will not:
- Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to the Services or any related systems or networks.
- Copy, modify, distribute, sell, rent, lease, sublicense, or create derivative works of any part of the Services.
- Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Services.
- Use the Services in any manner that could disable, overburden, or impair the functionality or performance of the Services.
2.3 API Rate Limiting
If we provide access to APIs as part of our Services:
- We reserve the right to impose rate limits on the number of API calls you may make.
- Exceeding these limits may result in throttling, temporary suspension of access, or additional fees.
- Attempts to circumvent rate limits are strictly prohibited and constitute a violation of these Terms.
3. User Content and Ownership
3.1 User Content
“User Content” means any data, information, materials, or content that you submit, upload, transmit, or otherwise make available through the Services. You retain all ownership rights to your User Content.
3.2 License to User Content
By submitting User Content, you grant ReQuant a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to:
- Use, store, display, reproduce, modify, create derivative works from, distribute, and otherwise exploit your User Content.
- Use your User Content to provide, maintain, and improve the Services.
- Use your User Content to train, tune, and develop our AI systems.
This license survives the termination of these Terms.
3.3 Intellectual Property
All rights, title, and interest in and to the Services — including all intellectual property rights — are owned by ReQuant or its licensors. These Terms do not grant you any ownership rights in the Services.
3.4 User Representations
You represent and warrant that:
- You have all necessary rights, licenses, and permissions to submit your User Content.
- Your User Content does not and will not violate any third-party rights.
- Your use of the Services and all User Content complies with all applicable laws and regulations.
3.5 Feedback License
If you provide feedback, suggestions, ideas, or recommendations regarding the Services (“Feedback”), you agree that:
- ReQuant shall have a perpetual, irrevocable, worldwide, royalty-free, fully paid-up right to use such Feedback for any business purpose.
- You assign all rights, title, and interest in and to such Feedback to ReQuant without compensation to you.
4. AI Autonomous Agents
4.1 Limitations
ReQuant’s AI-powered digital employees are designed to assist your business operations. You acknowledge that:
- AI-generated outputs may not always be accurate, complete, or error-free.
- You are responsible for reviewing and verifying any outputs or actions of the AI agents.
- Critical decisions should not be made solely based on AI agent recommendations without human oversight.
4.2 Training and Improvement
ReQuant may use anonymized data derived from your use of the Services to:
- Train, enhance, and improve our AI systems.
- Improve the overall functionality, reliability, and performance of the Services.
5. Privacy and Data Security
5.1 Privacy Policy
Our Privacy Policy explains how we collect, use, and disclose information from and about you when you use our Services. The Privacy Policy is incorporated into these Terms by reference.
5.2 Data Processing
For business customers, we may act as a data processor for certain User Content and other data provided to the Services. In such cases:
- Our Data Processing Agreement will apply to applicable processing activities.
- We will implement appropriate technical and organizational measures to protect your data.
6. Payment Terms
6.1 Fees
You agree to pay all applicable fees associated with your use of the Services. Fees are exclusive of any applicable taxes, which you are responsible for paying.
6.2 Subscription and Billing
The Services are provided on a subscription basis. Your subscription:
- Will automatically renew unless canceled prior to the renewal date.
- Must be paid using an approved payment method provided at the time of registration.
6.3 Changes to Fees
ReQuant reserves the right to:
- Modify its fees and pricing structure at any time with prior notice.
- Continued use of the Services following a fee change constitutes acceptance of the new fees.
6.4 No Refunds
All payments are non-refundable. In exceptional circumstances, we may:
- Provide prorated refunds at our sole discretion.
- Apply credits or refunds to future service periods unless otherwise determined by us.
7. Service Availability and Modifications
7.1 Service Availability
ReQuant does not guarantee that the Services will be:
- Uninterrupted.
- Secure.
- Error-free.
- Available at all times.
We reserve the right to perform maintenance, updates, or other technical operations that may temporarily affect the availability or functionality of the Services. We will make reasonable efforts to schedule maintenance during off-peak hours but are not obligated to provide advance notice.
We are not liable for any losses or damages resulting from:
- Service interruptions.
- Maintenance or downtime.
- Unavailability of the Services.
7.2 Service Modifications
ReQuant reserves the right to:
- Modify, suspend, or discontinue any feature or aspect of the Services at any time and for any reason.
- Make changes without prior notice to improve or adapt the Services.
- Update or remove features, tools, or APIs without obligation to maintain backward compatibility.
Your continued use of the Services after any modifications constitute your acceptance of the updated Services.
8. Term and Termination
8.1 Term
These Terms of Use remain in effect until terminated by either you or ReQuant.
8.2 Termination by ReQuant
We may suspend or terminate your access to the Services immediately and without prior notice if we determine that you have:
- Violated any provision of these Terms.
- Engaged in fraudulent, abusive, or illegal activity.
- Failed to pay any fees due for the Services.
- Engaged in activity that may harm the Services, systems, or other users.
- Maintained an inactive account for an extended period.
8.3 Termination by You
You may terminate these Terms at any time by:
- Discontinuing your use of the Services.
- Closing your account.
8.4 Effect of Termination
Upon termination:
- Your right to access and use the Services will immediately cease.
- We may delete your User Content and account information after 30 days following termination.
- The following provisions will survive termination:
- Ownership provisions.
- Warranty disclaimers.
- Indemnification obligations.
- Limitations of liability.
9. Disclaimers and Limitations of Liability
9.1 Disclaimer of Warranties
The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind. ReQuant disclaims all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability.
- Fitness for a particular purpose.
- Non-infringement.
- Warranties that the Services will meet your requirements.
- Warranties that the Services will be uninterrupted, timely, secure, or error-free.
- Warranties regarding the accuracy, completeness, or reliability of AI-generated outputs.
- Warranties that any errors in the Services will be corrected.
9.2 Limitation of Liability
To the maximum extent permitted by applicable law, ReQuant shall not be liable for:
- Any indirect, incidental, special, consequential, punitive, or exemplary damages.
- Damages for loss of profits, revenue, goodwill, data, or other intangible losses.
- Damages arising from the use or inability to use the Services.
- Damages resulting from unauthorized access to or alteration of your transmissions or data.
- Damages resulting from any third-party content or conduct.
9.3 Cap on Liability
In no event shall ReQuant’s total liability to you exceed the amount you paid for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
9.4 Limitation Period
Any claim or cause of action arising out of these Terms must be filed within one (1) year after the event giving rise to the claim occurs. If not filed within this time period, the claim is permanently barred.
10. Indemnification
You agree to indemnify, defend, and hold harmless ReQuant and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Services.
- Your violation of these Terms.
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.
- Any claim that your User Content caused damage to a third party.
11. Third-Party Services
The Services may provide access to or integrate with third-party services, websites, or applications (“Third-Party Services”). You acknowledge and agree that:
- ReQuant is not responsible for the availability, content, or functionality of any Third-Party Services.
- Your use of any Third-Party Services is at your own risk and subject to the terms and conditions of those third parties.
- ReQuant disclaims all liability in connection with your use of Third-Party Services.
12. Force Majeure
ReQuant shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to:
- Acts of God.
- Natural disasters (earthquakes, storms, floods).
- Internet or telecommunications failures.
- Labor disputes or strikes.
- Acts of terrorism or war.
- Government actions or regulations.
- Epidemics, pandemics, or other public health emergencies.
13. Export Controls
You agree to comply with all applicable export control and economic sanctions laws and regulations. You represent and warrant that:
- You are not located in a country subject to a U.S. Government embargo.
- You are not identified on any U.S. Government list of prohibited or restricted parties.
- You will not export or re-export the Services to any country, person, or entity prohibited by applicable law.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
14.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its commercial arbitration rules. The arbitration shall be conducted in Las Vegas, Nevada.
14.3 Class Action Waiver
You and ReQuant agree that:
- Any claims must be brought individually and not as part of a class or representative proceeding.
- The arbitrator may not consolidate claims from multiple parties.
15. Modifications to Terms
ReQuant reserves the right to modify these Terms at any time. Changes will become effective upon:
- Posting the updated Terms on our website.
- Providing notice through the Services.
Your continued use of the Services after the changes constitutes acceptance of the updated Terms.
16. General Provisions
16.1 Entire Agreement
These Terms, along with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and ReQuant.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16.3 No Waiver
Failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without prior written consent from ReQuant. We may assign these Terms without restriction.
