These Terms of Use (“Terms”) govern your access to and use of ReQuant’s on-premises AI-powered digital employee services and related websites, applications, software, and platforms (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

1. Account Registration and Security

1.1  Account Creation

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your information as needed.
• Accept full responsibility for all activities that occur under your account.

1.2  Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Keep your login credentials secure and confidential.
• Notify us immediately of any unauthorized use of your account.
• Notify ReQuant immediately upon any actual or suspected unauthorized access to your account.
• Assume all risk and liability for unauthorized access resulting from your failure to safeguard your credentials.

ReQuant reserves the right to monitor usage of the Services for purposes including, but not limited to:

• Service performance, maintenance, and improvement.

2. License and Restrictions

2.1  License Grant

Subject to your compliance with these Terms, ReQuant grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes.

2.2  Restrictions

You agree that you will not:

• Use the Services in violation of any law or regulation.
• Attempt to access or use the Services without authorization.
• Copy, modify, sell, lease, license, distribute, or create derivative works from any part of the Services.
• Reverse engineer, decompile, or attempt to extract any source code from the Services.
• Interfere with or disrupt the performance or integrity of the Services.

2.3  API Access and Rate Limits

Where API access is provided:

• ReQuant may impose rate limits on your API usage.
• Exceeding such limits may result in throttling, temporary suspension, or termination of access.
• Circumventing or attempting to bypass rate limits is strictly prohibited.

3. User Content and Proprietary Rights

3.1  User Content

“User Content” refers to any data, files, inputs, or materials you upload, transmit, or otherwise provide through the Services. You retain full ownership of your User Content.

3.2  License to User Content

You grant ReQuant a non-exclusive, perpetual, worldwide, royalty-free, irrevocable license to:

• Use, store, reproduce, display, distribute, and create derivative works from your User Content for the purpose of providing, operating, and enhancing the Services.
• Use anonymized and aggregated forms of your User Content to improve ReQuant’s systems, including training its AI models.

3.3  Ownership of Services

All rights, title, and interest in and to the Services (including software, content, trademarks, and underlying technology) are and will remain the exclusive property of ReQuant or its licensors.

3.4  User Representations

You represent and warrant that:

• You have all necessary rights and authority to provide your User Content.
• Your User Content does not infringe any third-party rights or violate any laws.
• Your use of the Services complies with all applicable laws and these Terms.

3.5  Feedback

You agree that ReQuant may freely use any suggestions, ideas, or feedback you provide without compensation. You assign to ReQuant all rights in such feedback.

 

4. AI Digital Employees

4.1  Disclaimers

ReQuant’s AI-powered digital employees are tools intended to assist business functions. You acknowledge that:

• Outputs generated by AI agents may be incomplete, inaccurate, or erroneous.
• You are solely responsible for reviewing AI-generated outputs before relying on them.
• All final business decisions must be made by a human operator.

4.2  Training and System Improvement

ReQuant may use anonymized usage data to enhance and refine its AI capabilities and service reliability.

 

5. Privacy and Data Security

5.1  Privacy Policy

Our Privacy Policy governs how we collect, use, and disclose your information. It is incorporated into these Terms by reference. You acknowledge and agree to the practices described therein.

5.2  Data Processing Obligations

To the extent ReQuant processes personal data on your behalf as a data processor:

• A separate Data Processing Agreement (“DPA”) will govern the relationship.
• ReQuant will implement reasonable security measures in accordance with applicable laws.

 

6. Fees and Payments

6.1  Fees and Taxes

You agree to pay all applicable fees. Prices are exclusive of taxes unless otherwise stated, and you are responsible for all applicable taxes.

6.2  Subscription Terms

If your use of the Services is subscription-based:

• Your subscription will auto-renew unless canceled in advance.
• You must maintain a valid payment method on file.

6.3  Changes to Fees

ReQuant reserves the right to change pricing with advance notice. Continued use of the Services after such notice constitutes your acceptance.

6.4  Refund Policy

All fees are non-refundable. ReQuant may, in its sole discretion, issue prorated credits or refunds in exceptional cases.

 

7. Service Availability and Changes

7.1  Availability

ReQuant strives to maintain service availability but does not guarantee uptime. Maintenance, updates, or unexpected outages may affect access.

7.2  Modifications

ReQuant may modify, enhance, or discontinue features at any time. Your continued use of the Services constitutes acceptance of such changes.

 

8. Term and Termination

8.1  Duration

These Terms of Use remain in effect until terminated by either you or ReQuant.

8.2  Termination by ReQuant

ReQuant may terminate your access immediately without notice if you:

• Violate these Terms.
• Engage in abusive or unlawful behavior.
• Fail to pay any amounts owed.
• Remain inactive for a prolonged period.

8.3  Termination by You

You may terminate at any time by discontinuing use and closing your account.

8.4  Effect of Termination

Upon termination:

•  Access to Services will cease immediately.
• ReQuant may delete your data 30 days post-termination.
• Provisions regarding intellectual property, disclaimers, indemnity, and limitations of liability shall survive.

 

9. Disclaimers and Liability

9.1  No Warranties

The Services are provided “as is” and “as available.” ReQuant disclaims all express and implied warranties, including but not limited to:

• Merchantability.
• Fitness for a particular purpose.
• Non-infringement.
• Accuracy of AI outputs.
• Error-free or uninterrupted service.

9.2  Limitation of Liability

To the fullest extent permitted by law, ReQuant shall not be liable for:

• Indirect, incidental, or consequential damages.
• Loss of profits, data, or business opportunities.
• Unauthorized access to or alteration of your data.

9.3  Cap on Liability

ReQuant’s aggregate liability shall not exceed the fees you paid in the 12 months prior to the event giving rise to the claim.

9.4  Time Limit

Claims must be brought within one (1) year of the event giving rise to the claim or be permanently barred.

 

10. Indemnification

You agree to indemnify and hold harmless ReQuant and its affiliates from any claim, loss, or damage arising out of:

• Your use of the Services.
• Your User Content.
• Your breach of these Terms.
• Any third-party claim arising from your conduct.

 

11. Third-Party Services

The Services may link to or integrate with third-party platforms. ReQuant is not responsible for:

• The content or accuracy of third-party platforms.
• Any harm resulting from your use of such platforms.

 

12. Force Majeure

ReQuant shall not be liable for delays or failure in performance due to causes beyond its reasonable control, including but not limited to:

• Acts of God or nature.
• Internet or power outages.
• Government actions.
• Epidemics or pandemics.

 

13. Export Compliance

You agree to comply with all applicable export and trade sanctions laws. You represent that:

• You are not located in a restricted country.
• You are not on any U.S. government restricted party list.
• You will not export or re-export the Services to prohibited entities.

 

14. Governing Law and Arbitration

14.1  Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of laws principles.

14.2  Dispute Resolution

All disputes shall be resolved through binding arbitration administered by the AAA under its commercial arbitration rules, held in Las Vegas, Nevada.

14.3  Class Action Waiver

You agree that all claims must be brought individually, and you waive any right to participate in a class or representative action.

 

15. Changes to These Terms

ReQuant may update these Terms from time to time. Changes become effective upon:

• Posting the updated Terms on our website.
• Providing notice via the Services.

Your continued use after changes take effect constitutes acceptance.

 

16. Miscellaneous

16.1  Entire Agreement

These Terms, along with our Privacy Policy and applicable addenda, constitute the full agreement between you and ReQuant.

16.2  Severability

If any provision is held invalid, the remainder shall remain enforceable.

16.3  Waiver

Failure to enforce a provision shall not constitute a waiver of future enforcement.

16.4  Assignment

You may not assign these Terms without ReQuant’s prior written consent. ReQuant may assign these Terms at its discretion.

 

17. System Access, Data Transmission, and Infrastructure Requirements

17.1  Administrative Access by ReQuant

Client expressly authorizes ReQuant and its designated personnel to access the server environment in an administrative capacity (“Admin Access”) for purposes including, but not limited to, maintenance, software updates, security patching, quality assurance testing, debugging, and performance enhancements related to ReQuant’s proprietary software application known as the “Toaster.” Such access is essential for the continued functionality, security, and service quality of the Toaster and the Services.

17.2  Restriction on Client Administrative Access

Client agrees that it shall not attempt to obtain or utilize Admin Access to the server, the Toaster, or any associated system components without ReQuant’s prior written consent. Such consent shall be granted only on a case-by-case basis. Any unauthorized access or attempt to circumvent this provision shall constitute a material breach of these Terms and may result in immediate suspension or termination of Services.

17.3  System Monitoring and Data Transmission

Client grants ReQuant the ongoing right to collect and transmit real-time telemetry and performance data from the Toaster to ReQuant’s systems. This includes, without limitation, infrastructure diagnostics, usage statistics, uptime data, configuration logs, error reports, and other operational metrics (“System Performance Data”). All such data shall be transmitted securely and used solely for service optimization, technical troubleshooting, monitoring, and overall system management.

17.4  Client Data Protection

ReQuant represents and warrants that no proprietary Client Data will be stored or retained locally on the Toaster. The Toaster functions exclusively as a processing and transmission interface and shall not serve as a long-term data repository. ReQuant shall handle all Client Data in accordance with its data protection practices and applicable privacy obligations as outlined in these Terms and the ReQuant Privacy Policy.

17.5  Persistent Internet Connectivity

To ensure optimal performance of the Services, Client agrees to provide and maintain a persistent and reliable Internet connection for the Toaster. This connection must meet or exceed the service-level availability (SLA) agreed upon between Client and ReQuant. ReQuant shall not be liable for service interruptions, performance degradation, or failures resulting from insufficient or unstable connectivity on the Client’s end.
